1. Acceptance of Terms

By accessing or using the Taxi Member platform at TaxiMember.com (the "Platform"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Platform. These Terms and Conditions apply to all visitors, members, and users of the Platform.

2. About Taxi Member

Taxi Member is a membership-driven industry platform designed to connect, strengthen, and grow the taxi community. Taxi Member is not a taxi company. It operates as a centralized digital community where members can discover work opportunities, industry news, technology, events, business opportunities, educational resources, partnerships, and community initiatives. Technology sponsorship and industry software support are provided by Golden Monkey Inc.

3. Membership and Accounts

To access certain features of the Platform, you must register for a membership account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Taxi Member immediately of any unauthorized use of your account. Taxi Member reserves the right to suspend or terminate accounts that violate these Terms.

4. Membership Tiers and Fees

Taxi Member offers multiple membership tiers, including a free Individual membership and paid Professional, Business, and Corporate Partner tiers. Paid membership fees are billed on a monthly or annual basis as selected at the time of purchase. All fees are in Canadian dollars unless otherwise stated. Membership fees are non-refundable except as required by applicable law. Taxi Member reserves the right to modify membership fees upon reasonable notice to members.

5. User Conduct

You agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of others. You must not post or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable. You must not impersonate any person or entity, misrepresent your affiliation with any person or entity, or post false or misleading information. Taxi Member reserves the right to remove any content and suspend or terminate any account that violates these standards.

6. User-Generated Content

Members may post content including job listings, profiles, announcements, and other materials. By posting content on the Platform, you grant Taxi Member a non-exclusive, royalty-free, worldwide licence to use, display, reproduce, and distribute such content in connection with the operation of the Platform. You represent and warrant that you own or have the necessary rights to post such content and that it does not violate any third-party rights.

7. Opportunities and Listings

Taxi Member provides a marketplace for job listings, vehicle listings, partnership opportunities, and vendor opportunities. Taxi Member does not verify the accuracy of listings posted by members and is not responsible for any transactions, agreements, or disputes arising from listings on the Platform. Members are solely responsible for conducting their own due diligence before entering into any agreement with another member or third party.

8. Intellectual Property

The Taxi Member name, logo, and all content created by Taxi Member on the Platform, including text, graphics, logos, and software, are the property of Taxi Member or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any Taxi Member content without prior written permission.

9. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy. Taxi Member is committed to protecting the privacy of its members and complying with applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA).

10. Third-Party Links and Services

The Platform may contain links to third-party websites or services, including those of our technology sponsor Golden Monkey Inc. and other partners. These links are provided for convenience only. Taxi Member does not endorse and is not responsible for the content, privacy practices, or terms of any third-party websites or services. Your use of third-party websites is at your own risk.

11. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Taxi Member does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Taxi Member and its officers, directors, employees, agents, and technology sponsor Golden Monkey Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, even if Taxi Member has been advised of the possibility of such damages. Taxi Member's total liability to you for any claim arising from these Terms shall not exceed the amount you paid for your membership in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Taxi Member, its officers, directors, employees, agents, and technology sponsor Golden Monkey Inc. from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Platform, your violation of these Terms, or your violation of any rights of another person or entity.

14. Termination

Taxi Member reserves the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, and limitations of liability.

15. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

16. Changes to These Terms

Taxi Member reserves the right to modify these Terms and Conditions at any time. We will notify members of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
